To be fair, it’s Cramer’s show, but he’s not the one that said Musk could go to jail. I don’t think it will happen, but if the guy would just shut up and focus, and stop being a one man shitshow, he’d probably be much further ahead, instead of overpromising and underdelivering all the time.

Jail isn’t happening, and Twitter deserves better than a part time CEO. Agarwal’s needs to prove he isn’t an empty suit, and that seems less likely than Musk in jail (unless it’s for child support, not because he can’t afford it, but it’s a lot of accounting).
I was kind of hoping to see all his planned changes for 2023 that wouldn’t actually be implemented until 2028 (if ever)
Anyone but the apparatchiks currently installed would make a better CEO and board for Twitter.

Agarwal emptied his C-suite for this merger, and allowed a significant brain drain. The $1B breakup fee is only if the regulators nix it. Even if they sue for performance/settle, the money won’t restore confidence or replace the talent they lost.

Musk isn’t going to jail but he is in big financial trouble. There is a reason so much corporate law happens at the Delaware Chancery Court and that is the consistent application of law and precedent. Anyone can copy Delaware’s law but the middle of the road judges and lack of political involvement are what make that Court the standard for corporate law.
Problem is Musk doesn’t want to play by the rules. Here, that is likely to be a problem. Twitter has a strong case and they aren’t messing around with their legal team. This could get interesting in a hurry. Especially since Musk probably doesn’t have the financial ability to buy Twitter even if he wanted to right now.

Any rational person/company would settle this. By either negotiating a new sale price or paying Twitter a boatload of money.
He has a weak case and litigation is so expensive. Most of these lawyers are going to be billing out at $750 -$2,500 an hour (Expensive yes but they are the best at what they do. Why do some MLB pitchers get paid a million bucks a start).
But Musk isn’t rational. A rational person doesn’t fire his long-time law firm because they won’t fire an associate who previously worked at SEC. A rational person doesn’t sign this purchase agreement waiving opportunity for full due diligence.
Edit: hit send before entering conclusion. If he goes all the way through litigation and loses, he could end up having to sell Tesla. If he gets ordered to complete the purchase and can’t come up with the funds…who knows how it ends.
As a non Tesla owner are Tesla quality issues overblown by non owners or covered up/ignored by owners? Both factions seem to be pretty firm on their stance

There are boards/twitter feeds/reddit posts out there that cover quality issues. Then there are the ones that love the idea of Tesla and the technology, that they overlook the flaws.
I’ll never own a Tesla, but I’m torn on this topic. Munro Live (Sandy) show dynamite, iterative and unique engineering taking place in Tesla factories, but I routinely follow Teslas (I’m in their main market) with plastic and metal bits loose and waiving in the wind. Just yesterday I followed a dark grey S with an undercarriage plastic cover banging on the ground at 70mph. All that brilliant engineering and you have that.
